Terms of Service

These Terms of Service (“Terms”) govern your access to and use of HTMLVault (the “Service”), operated by HTMLVault (“we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.
1. The Service
HTMLVault is a platform for creating, hosting, sharing, and tracking HTML content via secure links. Features vary by plan and may include link hosting, PII scanning, link analytics, tracking code injection, white-label custom domains, API and MCP access, and webhooks. We may add, change, or remove features over time.
2. Accounts
You must provide accurate information when creating an account and keep it current. You are responsible for all activity under your account, including activity by automated tools, integrations, and team members you authorize. Keep your credentials and API keys confidential. Notify us promptly at [email protected] if you suspect unauthorized access. We use a third-party authentication provider. You are responsible for maintaining the security of the email account or authentication method tied to your login.
3. Plans, billing, and renewals
Free, Pro, and Enterprise. Plan features and limits are described on our pricing page and may change. Free accounts are subject to usage limits, link expiry, and inactivity-based retention windows.
Paid plans. Pro and Enterprise plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each renewal until you cancel.
Renewals and cancellation. Subscriptions renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial periods, unused features, or downgrades.
Price changes. We may change prices. For existing subscribers, price changes apply at the next renewal after reasonable notice.
Taxes. Fees are exclusive of taxes. You are responsible for any applicable taxes other than taxes on our net income.
4. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violating the AUP is a violation of these Terms.
5. Your content
You retain ownership of the HTML files, assets, and other content you create or upload (“Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and create technical copies of Your Content solely as needed to operate and provide the Service to you — including scanning it, serving it at your links, applying tracking you configure, and delivering it through custom domains. You are responsible for Your Content and represent that you have all necessary rights to it. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.
6. Third-party services and integrations
The Service integrates with third-party tools and platforms (for example, AI providers via your own keys, automation and enrichment platforms, analytics and tracking providers, and payment and authentication providers). Your use of those third parties is governed by their terms, not ours. We are not responsible for third-party services, and your “bring your own key” (BYOK) AI usage is billed by and subject to the terms of your chosen AI provider.
7. Intellectual property
The Service itself — including its software, design, branding, and documentation, but excluding Your Content — is owned by us and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as expressly permitted.
8. Suspension and termination
We may suspend or terminate your access, with or without notice, if you violate these Terms or the AUP, fail to pay, create risk or legal exposure for us, or where required by law. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends and we may delete Your Content and account data in accordance with our retention practices and Privacy Policy. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that PII scanning, malware checks, or other automated safeguards will detect all sensitive data or threats. Those features are tools to assist you and do not guarantee compliance or security.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HTMLVAULT AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless HTMLVault and its owners, employees, and suppliers from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms, the AUP, or any law or third-party right.
12. Governing law and disputes
These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Montana, and you consent to their jurisdiction, except where applicable law provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes take effect when posted, and we will provide reasonable notice where appropriate. Your continued use of the Service after changes take effect constitutes acceptance.
